Registration of a foreign company representative office (representative office registration) is a process required for effective commercial activity of a foreign company in our country. In simple terms, a separate department of the company is created and acts as its full representative office. Representative offices operate under the laws of Ukraine, unlike the main company. An accredited representative office may also perform representative functions for other companies if the registration authority agrees.
Registration of representative offices in Ukraine is carried out for the convenience of a head office planning to work actively in our market, to reduce tax rates under certain agreements (which, without a representative office, would require much higher costs), and to make work with documents in our territory more efficient.
A representative office in Ukraine cannot itself conduct commercial activity (unlike a branch), and it may have no more than 5 foreign employees (citizens of other countries). Registration of representative offices is simpler than setting up legal entities with foreign capital, gives VAT benefits and allows simpler bookkeeping.
Representative office registration is generally made for an unlimited period. The authority responsible for registration of representative offices is the Ministry of Economy of Ukraine. The registration period is about 30 days, but the procedure can be completed faster if an accelerated registration fee is paid. Different organisations may also be registered by the National Bank of Ukraine (credit organisations), the Ministry of Justice (mass media), and the Ukrainian Chamber of Commerce and Industry (different associations and unions of entrepreneurs).
To register a representative office, apostilled and certified copies of all company documents must be provided: certificate of registration, Articles, board resolution on registration of the representative office, bank letter confirming solvency, general power of attorney for the head of the representative office, power of attorney for the person handling the registration, documents confirming ownership rights for the registration address, and a copy of the passport of the head of the accredited representative office.
If some documents do not exist under the law of the foreign country (for example, there are no Articles), the closest equivalent documents are used. Then an application must be completed and the fee paid. After some time, permission to operate in Ukraine is issued, the accredited representative office is entered in the state register, and documents are submitted for approval of the seal design. It is also necessary to register with the tax authority within one month. After the main stages are completed, registration with non-budgetary funds is also required.
